Terms of Service
These terms are the agreement between you and Claritea. They cover what you can expect from the service, what we expect from you, and what happens to your data. Please read section 4 closely if you connect a YouTube channel, because doing so brings Google's own terms into this agreement.
1. Who we are and acceptance
PayPer Technologies Inc. d/b/a Claritea and its affiliates (collectively "Claritea", "we", "us" or "our") operate this service. Claritea is incorporated in Ontario, Canada, with a registered address at 505 - 70 Montclair Ave, Toronto, Ontario, M5P 1P7. "You" and "your" mean the person or organisation using the service.
By creating an account, connecting a channel, opening a shared dashboard, or otherwise using Claritea, you accept these terms. If you are agreeing on behalf of a company or another person, you confirm you have the authority to bind them, and "you" includes them. If you do not accept these terms, do not use the service.
Our Privacy Policy forms part of this agreement.
2. Definitions
- Creator is an account holder who connects one or more YouTube channels they own or control.
- Viewer is a person a Creator invites onto a seat so they can sign in and see that Creator's channel dashboards.
- Share Recipient is anyone who opens a share link. Share Recipients do not sign in and do not have accounts.
- Channel Data is the information we retrieve about a connected channel from Google's APIs: channel and video metadata, and the analytics metrics Google reports for that channel.
- Audience Data is public comment text and commenter display names retrieved from videos on a connected channel, together with the audio of those videos and the transcripts generated from it.
- Derived Insights are the outputs our automated processing produces from Channel Data and Audience Data: detected sponsor segments and brands, sentiment scores and quotes, transcripts, and the aggregates and charts built on top of them.
3. Eligibility and accounts
You must be at least 18 years old to use Claritea. The service is not directed at children and we do not knowingly create accounts for them.
You agree to give accurate account information and keep it current. Claritea signs you in with a one-time code sent to your email address, so control of that mailbox is control of your account. You are responsible for everything done through your account and for keeping your email access secure. Tell us promptly at hello@claritea.ai if you think someone else has gained access to your account.
Accounts are for one person each. Do not share your sign-in with someone else; invite them onto a Viewer seat instead, as described in section 10.
4. YouTube and Google
Claritea uses YouTube API Services. By using Claritea you agree to be bound by the YouTube Terms of Service, which apply to you in addition to these terms.
Google's handling of your information is governed by the Google Privacy Policy.
You can revoke Claritea's access to your Google account at any time through the Google security settings permissions page.
Connecting a channel sends you to Google to grant access. We request four scopes and no others: your OpenID identifier, your email address, read-only access to your YouTube account, and read-only access to your YouTube Analytics reports. We never request write access, so Claritea cannot upload, edit, delete or comment on anything in your YouTube account.
You confirm that you own or are authorised to grant access to every channel you connect, and that doing so does not breach any agreement you have with a network, a manager, or a rights holder.
Revoking access through Google stops us retrieving anything further. It does not by itself delete what we have already stored. See the Privacy Policy for how deletion works and how long we keep data.
5. The service
Claritea reads your channel's public comments, video metadata and analytics, processes the audio of your videos to produce transcripts, and uses automated analysis to detect sponsor segments and measure audience sentiment. It presents the results as dashboards you can filter, export and share.
Two plans are offered:
- Free costs nothing and covers one channel, with a standard refresh rate, preview sentiment on content and sponsors, the basic report builder, and one viewer seat.
- Pro is a paid plan covering every channel you run, with a priority refresh rate, full content and sponsor sentiment including comment quotes, the full report builder, and more viewer seats.
What each plan includes, and its price, are described on the pricing section of our website and may change under section 13. Section 6 covers billing.
6. Plans and billing
Free costs nothing and needs no card. Pro is a paid subscription billed in advance for each billing period. The current price, currency and what each plan includes are shown on our pricing page and at the point of purchase.
- Payment. Payments are handled by our payment processor, Stripe. You give your card details to Stripe rather than to us, and we never receive or store your full card number. By subscribing you authorise us to charge your chosen payment method for the plan you selected, and for each renewal, until you cancel.
- Renewal. Paid plans renew automatically at the end of each billing period, at the then-current price, until cancelled.
- Cancelling. You can cancel at any time. Cancellation takes effect at the end of the billing period you have already paid for, so you keep paid features until then and are not charged again. Cancelling or downgrading does not delete your data or your history.
- Changing plan. Upgrading takes effect immediately and we charge the difference for the remainder of the current period. Downgrading takes effect at the end of the current period.
- Taxes. Prices exclude tax unless stated otherwise. You are responsible for any sales, use, GST, HST, QST, VAT or similar tax on your subscription, other than tax on our income.
- Refunds. Fees are non-refundable except where the law requires otherwise or where we agree in writing. If we terminate your account under section 15 for a reason other than your breach of these terms, we refund the unused part of the period you have paid for.
- Price changes. We may change prices. We will give you at least 30 days' notice by email before a new price applies to one of your renewals. If you do not want to pay it, cancel before that renewal date.
- Failed payments. If a charge fails we may retry it, and we may suspend paid features until payment succeeds. We will tell you before suspending anything.
7. Your content and the licence you grant
Claritea claims no ownership of your content. Channel Data and Audience Data stay yours or their respective owners'. Nothing in these terms transfers any right in them to us.
To operate the service we need permission to handle that material. You grant Claritea a non-exclusive, worldwide, royalty-free licence to access, retrieve, store, copy, transcribe and analyse Channel Data and Audience Data, and to generate and display Derived Insights from them, solely for the purpose of providing the service to you and to the Viewers and Share Recipients you authorise. That licence includes passing the material to the processing providers listed in our Privacy Policy, who act on our instructions.
The licence lasts as long as we hold the material and ends when it is deleted. We do not use your content to advertise to you, sell it, or train our own models on it. See the Privacy Policy for what our processing providers may and may not do.
Derived Insights are yours to use. You may show them to your sponsors, publish them, and build on them. Section 11 sets out the limited things you may not do with them.
8. Accuracy of insights
Sponsor detection, transcription and sentiment scoring are automated and probabilistic. They involve speech recognition on imperfect audio and language models making judgement calls. They will sometimes be wrong: a sponsor segment can be missed or invented, a brand misattributed, a transcript misheard, a comment's tone misread. Analytics figures we display come from Google and carry whatever limitations, delays and revisions Google applies to them.
Claritea gives no warranty that Derived Insights are accurate, complete or fit for any particular purpose. This matters most where it costs you money. If you report performance to a sponsor, invoice against delivered placements, or negotiate a rate, treat Claritea as a working aid and not as a system of record. Check the figures against your own records and against the sponsor's before you rely on them. You are responsible for anything you represent to a third party on the basis of Derived Insights.
9. Sharing
Claritea lets you generate a share link to a sponsor-scoped dashboard. A share link is an unlisted URL, not authenticated access. Anyone who holds the link can open it, with no sign-in and no identity check, until it expires or you revoke it. Treat the link itself as the credential: if it is forwarded, screenshotted or posted, whoever receives it has the same access the intended recipient had.
When you create a share link you choose:
- the sponsor, the channels and the date range the recipient can see,
- whether negatively scored comments and quotes are included,
- whether the recipient can download the underlying data as CSV,
- when the link expires.
You can revoke a link at any time, which stops it working from that point. Revocation cannot reach anything a recipient already downloaded or copied.
You are responsible for deciding what to share and with whom, and for any onward disclosure by your recipients. Sharing a dashboard discloses the comment text and commenter display names it contains, so please read what a recipient actually receives in the Privacy Policy before you send a link.
We record the IP address and browser user agent of each share-link view so you can see view counts and so we can detect abuse.
10. Invited viewers
You can invite other people onto Viewer seats. The number of seats depends on your plan. An invited Viewer signs in with their own email address and can see the dashboards for the channels you granted them, including comment text, commenter display names and Derived Insights for those channels. Viewers cannot connect or remove channels, change your plan, or manage your account.
You can revoke a Viewer's access at any time. They lose access to the dashboards straight away, though a data file their browser already has permission to fetch can remain reachable to them for up to 24 hours. A Viewer can also remove their own access. Revoking access does not recover anything the Viewer already exported or recorded.
You are responsible for who you invite. Only invite people who are entitled to see your channel and audience data.
11. Acceptable use
You agree not to:
- resell, sublicense, or redistribute Claritea's output as a standalone data product, or build a competing analytics service on top of it,
- scrape, crawl, or bulk-extract Claritea's pages, APIs or data files by any means other than the export features we provide,
- reverse engineer, decompile or attempt to derive the source of the service,
- circumvent or interfere with rate limits, quotas, expiry times, plan limits, share-link scopes or any other technical restriction,
- use the service to surveil, profile, identify, contact or target individual audience members. Audience Data is here so you can understand the reaction to your content in aggregate, not so you can build dossiers on the people who commented,
- upload or introduce malicious code, probe the service for vulnerabilities without our written permission, or attempt to access another account's data,
- use the service in a way that breaches the YouTube Terms of Service, the YouTube API Services Terms, or any applicable law,
- connect a channel you do not own or are not authorised to connect, or misrepresent your relationship to a channel.
If you are a security researcher and want to test the service, contact hello@claritea.ai first and we will tell you what is in scope.
12. Third-party services
Claritea depends on services we do not control. Channel Data and Audience Data come from Google and YouTube. Transcription, sponsor detection and sentiment analysis run through third-party processing providers. Storage and delivery run on Amazon Web Services. Our Privacy Policy lists each provider and what it receives.
These providers can change their terms, their pricing, their quotas, or their availability, and can restrict or withdraw access with little notice. If that happens, features that depend on them may degrade, pause or disappear. We do not guarantee the availability, accuracy or continued existence of any third-party service, and we are not responsible for their acts or omissions.
13. Availability and changes
We aim to keep Claritea available and working, but we do not promise uninterrupted service. We may need to take the service down for maintenance, and outages will happen.
Claritea is under active development. We may add, change, or remove features. Where we remove or materially reduce a feature you rely on, we will give reasonable notice by email or in the product, unless the change is required for legal, security or third-party-policy reasons, in which case we may act immediately.
14. Intellectual property
The service itself, including its software, interface, design, documentation, and the Claritea name and marks, belongs to us or our licensors. These terms grant you a limited, non-exclusive, non-transferable, revocable right to use the service while your account is in good standing, and nothing more. All rights not expressly granted are reserved.
You may not use our name, logo or marks without our written permission, except to identify Claritea factually as the source of a report you generated.
If you send us feedback or suggestions, we may use them without obligation or payment to you. This does not give us any right in your Channel Data, Audience Data or Derived Insights, which section 7 governs.
15. Suspension and termination
You may stop using Claritea at any time and may ask us to close your account.
We may suspend or terminate your access if:
- you materially breach these terms and do not fix it within 14 days of us asking,
- your use breaches the YouTube Terms of Service or the YouTube API Services Terms and Developer Policies, or Google or YouTube requires us to cut off access,
- we reasonably believe your use puts the service, other users, or a third party at risk of legal liability or security harm, in which case we may suspend immediately and tell you afterwards,
- payment on a paid plan fails and is not resolved,
- we discontinue the service, with reasonable notice.
On termination, your right to use the service ends and share links stop working. We then delete or anonymise your data as described in the Privacy Policy, which sets out how long each category is kept and what deletion currently reaches. Export anything you want to keep before you close your account. Sections 6 (as to fees already owed), 7 (as to ownership), 8, 14, 16, 17, 19 and 20 survive termination.
16. Disclaimers, limitation of liability and indemnity
Claritea is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, secure, or that Derived Insights will be accurate. Section 8 sets out the specific limits on automated analysis.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business, lost goodwill, or lost or corrupted data, even if advised such damages were possible.
To the maximum extent permitted by law, the total aggregate liability of Claritea and its officers, directors, employees, agents and suppliers arising out of or relating to these terms or the service is limited to the greater of the amount you paid us in the 12 months before the event giving rise to the claim, or one hundred Canadian dollars (CAD $100).
You agree to indemnify and hold us harmless against claims, damages, losses and reasonable legal costs arising from your breach of these terms, your misuse of the service, your connecting a channel you were not authorised to connect, or your disclosure of data through a share link or a Viewer seat.
Nothing in this section limits liability that cannot be limited by law, including liability for fraud, for fraudulent misrepresentation, or for death or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.
17. Governing law and disputes
These terms are governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-laws rules. The courts of Ontario have exclusive jurisdiction and both parties submit to their venue, except that either party may seek urgent injunctive relief in any court with jurisdiction over the other.
Before starting a formal proceeding, please contact hello@claritea.ai so we can try to resolve the matter directly.
Consumer rights are not waived. If you use Claritea as a consumer, nothing in these terms removes a right you have under mandatory consumer protection law where you live. In particular, if you are a consumer resident in Quebec, the Consumer Protection Act gives you rights that cannot be waived by contract, including as to venue, and this section does not deprive you of them or require you to litigate outside Quebec. The same applies to any other jurisdiction whose consumer law overrides a contractual choice of law or forum.
18. Changes to these terms
We may update these terms. Changes take effect on the Effective Date reflected at the top of this page, and for changes that materially affect your rights or obligations we give you at least 30 days' notice by email or in the product first. Continuing to use Claritea after that date means you accept the updated terms. If you do not accept them, stop using the service and close your account before they take effect.
19. General
Feedback. If you send us suggestions or ideas about the service, we may use them for any purpose without obligation to you, and we are not required to compensate or credit you.
No agency. These terms create no partnership, joint venture, employment or agency relationship between you and Claritea.
Assignment. You may not assign or transfer these terms, or any right or obligation under them, without our written consent. We may assign them, in whole or in part, including in connection with a merger, acquisition, financing or sale of assets. These terms bind and benefit each party's permitted successors and assigns.
Entire agreement. These terms and the Privacy Policy are the whole agreement between you and Claritea about the service, and replace any earlier agreement or understanding on that subject.
Severability. If any provision is held invalid or unenforceable, it is limited or removed to the minimum extent necessary and the rest stays in force.
Waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later. A waiver counts only if it is in writing and signed by someone authorised by Claritea.
